The Streaming Giant Becomes Top Contender in Major Hollywood Studio Streaming and Studio Sale

Exclusive negotiations have commenced between Warner Bros Discovery and the streaming behemoth for a blockbuster acquisition of its core studio and streaming operations, a development that could profoundly reshape the film and television landscape.

An Intense Competition

The leading streamer is said to be vying with other industry titans like a rival studio and the cable giant, the owner of significant media properties, for control of the legendary Hollywood institution, the premium HBO, and the Max streaming platform.

According to reports the company has proposed a hefty breakup fee of $5 billion should the deal fail to secure antitrust approval in the United States.

The Offer Details

As the company's stock currently trading at about $24, its overall market cap is estimated at around $60 billion. Reports suggest Netflix's offer is between $28 to $30 per share, which suggests a total bid value in the range of $70 billion to $75 billion.

Analysts have warned that such a merger could trigger major antitrust concerns, as it would unite two of the most dominant streaming services in the United States.

Assurances and Corporate Restructuring

As part of its bid, Netflix has provided assurances that the legendary movie lot, behind major franchises like Batman and Harry Potter, would continue to enjoy broad cinema distribution.

Before a final agreement, Warner Bros Discovery is expected to complete a pre-arranged separation of its cable television channels, such as TNT, TBS, and CNN.

A Content Juggernaut

A successful acquisition, Netflix would gain ownership of HBO, creator of critically acclaimed hits including Game of Thrones, Succession, The Sopranos, and The White Lotus, plus an extensive library of beloved TV series.

Warner Bros formally initiated its auction last fall after attracting overtures by multiple suitors.

Industry Concerns

The potential sale has sparked controversy. Esteemed director James Cameron, known for the Avatar and Terminator franchises, recently warned that a sale to Netflix could lead to a "significant erosion of long-term value" for the creative sector.

At first, Paramount Skydance had been considered the leading candidate. The company had similarly proposed a $5bn breakup fee if regulatory hurdles.

Allegations of an Unfair Process

This week, the rival bidder argued in a letter that its bid was the one most poised to secure government approval. Additionally, the company accused Warner Bros of conducting an "unfair auction process" that favored its competitor, labeling it "compromised" in official documents.

Officials from Warner Bros, Netflix, Comcast, and Paramount have declined to comment on the current talks.
